Terms of Sale and Delivery

Application

  1. These terms and conditions of sale and delivery apply to all purchases of goods from Incado A/S, CVR no. 25473795.

Basis of agreement

  1. These terms and conditions, together with Incado's offers and order confirmations, constitute the entire agreement for the sale and delivery of products from Incado.
  2. The customer's possible terms of purchase, as stated in orders or other communication, are not considered part of the agreement unless Incado has explicitly accepted them in writing.
  3. Changes or additions to the agreement are only valid if agreed upon in writing between the parties.

Products

  1. The products supplied by Incado comply with applicable Danish legislation at the time of delivery.
  2. The products are intended for gallery and exhibition use. Incado does not assume responsibility for whether the products meet the customer's specific needs or intended use.

Price and payment

Price

  1. Prices follow Incado's current price list at the time of order confirmation, unless otherwise agreed in writing. All prices are exclusive of VAT.

Payment

  1. Payment must be made in accordance with the payment terms stated on the invoice, unless otherwise agreed in writing.
  2. An administration fee of DKK 49 will be charged for payment via EAN invoice.

Late payment

  1. In case of late payment, Incado is entitled to charge interest at 2% per month on the overdue amount from the due date until payment is made.

Orders and order confirmations

Orders

  1. Orders are placed via Incado's webshop. Once an order is completed, the customer receives an order confirmation by e-mail.
  2. An order is only binding for Incado once the customer has received an order confirmation.

Order confirmation

  1. Incado aims to send order confirmation or rejection no later than 2 working days after receipt of the order. Only written order confirmations are binding for Incado.

Order changes

  1. A placed order can only be changed after written acceptance from Incado.

Minimum order

  1. When ordering Incado Mini products, the minimum order is 6 designs. Each design is delivered in packs of 8, and orders are therefore placed in multiples thereof.

Inconsistent terms

  1. If an order confirmation does not match the customer's order, the customer must object in writing no later than 2 working days after receipt and no later than 5 days before the delivery date. Otherwise, the order confirmation will be considered accepted.

Delivery

Delivery terms

  1. Delivery is EX Works (Incoterms), unless otherwise agreed in writing.
  2. Free shipping is offered when ordering a minimum of 6 designs of 8 units each (total 48 units) and applies to delivery to one single address.

Delivery time

  1. The dispatch date is stated in the order confirmation. The delivery time may vary depending on production and stock status.

Receiving inspection

  1. The customer must inspect the goods upon receipt. Any errors or defects must be reported in writing to Incado without undue delay.
  2. Transport damage must be noted on the waybill upon receipt and reported to the carrier.

Returns

  1. Goods can be returned no later than 14 days after delivery, provided that:
    1. the goods are unused
    2. the goods are undamaged
    3. the goods are returned in their original packaging
  2. Return shipping is at the customer's expense and risk.

Intellectual property rights

  1. All intellectual property rights to products supplied by Incado, including design, trademarks, copyright, and other rights, belong to Incado.

Governing law and jurisdiction

Governing law

  1. The parties' business relationship is governed by Danish law.

Jurisdiction

  1. Any dispute between the parties shall be decided by Danish courts.
